LLP Annual Compliance: Form 11 and Form 8 Filing

Annual return and statement of accounts for your LLP, prepared and filed with the Registrar so the entity stays active and in good standing.

Get Started Today

LLP annual compliance means filing two yearly forms with the Registrar of Companies: Form 11, the annual return listing partners and their contribution, and Form 8, the statement of account and solvency. Every LLP must file both every year, whether or not it traded, earned income or saw any change in partners. The standard due dates fall at the end of May and the end of October, and late filing carries an additional fee for every day of delay, which keeps accumulating until the form is filed. Our team collects partner and accounting information, prepares both forms, arranges digital signatures, files on the MCA portal and flags the income tax return that runs alongside.

Who Needs LLP Annual Compliance Filing?

  • Every registered LLP, because annual filing is required whatever the business volume
  • Dormant LLPs with no operations that still need to stay current with the Registrar
  • LLPs that missed earlier years and need to regularise their filing history
  • LLPs where partners joined, retired or changed during the year
  • Newly registered LLPs preparing for the first annual filing after incorporation

Key Benefits

  • Both returns prepared from one set of data, so partner and accounting details match across forms
  • Check of whether turnover or contribution levels bring audit and certification into play for the year
  • Statement of solvency reviewed with designated partners before they sign it
  • Digital signature and DPIN KYC status of designated partners verified in advance of filing
  • Reminders for MCA and income tax deadlines of the LLP, so dates are not missed
  • Review of earlier years for defaults, so missing filings are spotted and addressed together

How It Works

  1. Collect partner and accounts data

We gather the partner list, capital contributions, changes during the year, books of account and bank statements, and confirm the LLP identification number and MCA portal access for filing.

  2. Confirm audit and certification needs

We compare turnover and contribution against the limits in the LLP rules to decide whether the accounts must be audited and whether a practising professional must certify Form 11.

  3. Prepare accounts and Form 8

We prepare the balance sheet and profit and loss account, draft the statement of solvency for designated partner review, and align closing figures with the books before the form is created.

  4. Prepare Form 11

We prepare the annual return with partner details, contribution figures and any prescribed disclosures, checking it against earlier filings and partner changes already recorded with the Registrar.

  5. Review and sign digitally

Designated partners review both forms and sign with valid digital signatures. We confirm the DSC is active and linked correctly, since expired signatures are a common cause of last-minute delay.

  6. File and share acknowledgements

We file both forms on the MCA portal, track the service request number, share the acknowledgement and filed copies, and note the next year dates in your compliance calendar.

Documents Required

  • LLP identification number and the LLP agreement with all amendments
  • List of partners and designated partners with contribution details
  • Books of account, trial balance and bank statements for the year
  • Draft or final balance sheet and profit and loss account
  • Audit report, if turnover or contribution crosses the prescribed limits
  • Active digital signature certificates of the designated partners
  • DPIN details and confirmation that annual KYC is complete for designated partners
  • Acknowledgements of the previous Form 11 and Form 8 filings
  • Details of any partner admitted, retired or changed during the year

Timeline and Fees

Indicative timeline: Preparation usually takes a few working days once accounts are ready. The due dates are fixed by the LLP rules, and processing time depends on the MCA portal and any extension the MCA announces.

Professional fee: The fee depends on whether accounts need to be written up, whether an audit or certification applies, how many years are pending and how many partners are involved. Contact our team for a written quote.

What Can Go Wrong if This Is Missed or Done Incorrectly

  • Additional fees accrue for every day of delay on each form and each year, so old defaults can become expensive
  • Persistent non-filing can lead the Registrar to treat the LLP as not carrying on business and strike its name off the register
  • Pending filings can block other MCA requests, such as recording a change of partners
  • Missing or late accounts make it harder to obtain bank credit, tenders or investment
  • Designated partners carry the responsibility for the filings and can face action for continued default

Frequently Asked Questions

Does an LLP with no business activity still have to file every year?

Yes. Form 11 and Form 8 are required from every registered LLP, including one that earned no income, had no bank transactions or is simply dormant. The forms can show nil activity, but they must still be filed, and skipping them lets additional fees build up.

When are Form 11 and Form 8 due?

Form 11 is due within 60 days of the close of the financial year, which is the end of May for a March year-end, and Form 8 within 30 days after the first six months of the following year, which is the end of October. The MCA has extended dates in some years, so confirm before relying on them.

What is the late fee for an LLP filing?

The LLP rules prescribe an additional fee for each day of delay on each form, and it keeps running until the form is filed. We do not quote the amount here because the fee schedule is set by the MCA; the current rate is shown on the portal when you file late.

Is an audit compulsory for an LLP?

Only where turnover or contribution crosses the limits prescribed in the LLP rules. Below those limits an audit is not mandatory, but the LLP must still maintain proper books, and the designated partners must sign the statement of account and solvency.

Does filing the income tax return replace the MCA forms?

No. The LLP income tax return is filed with the Income Tax Department under a separate law and timetable, and the MCA forms are filed with the Registrar. Both are required every year, and figures in the two should be consistent, so we reconcile them while preparing the filings.

Who signs Form 8 and Form 11?

Designated partners sign with their digital signatures. For larger LLPs, Form 11 also needs certification by a practising Company Secretary, Chartered Accountant or Cost Accountant, and Form 8 follows the audit where an audit applies. Our team lines up each signatory before the filing window.
