DIR-3 KYC: Complete Filing Guide

DIR-3 KYC Director KYC filing guide India

TL;DR: Every person who holds a Director Identification Number (DIN) must file DIR-3 KYC by 30 September every year. Filing is free if done on time. Missing the deadline causes the DIN to be deactivated, requiring a ₹5,000 fee to reactivate. Existing filers who have no changes can use the faster DIR-3 KYC-Web route with OTP verification.

Director Identification Number (DIN) KYC is one of the most frequently overlooked compliance obligations for directors of Indian companies. Unlike ROC annual filings (AOC-4, MGT-7) which are company-level obligations, DIR-3 KYC is a personal obligation for every individual DIN holder.

This guide explains everything you need to know about DIR-3 KYC — what it is, who must file it, how to file it and what happens if you miss the deadline.

What is a Director Identification Number (DIN)?

A Director Identification Number (DIN) is a unique 8-digit identification number allotted by the Ministry of Corporate Affairs to every person who is or intends to be a director of a company registered in India.

DIN is issued once and remains the same throughout a person's lifetime. It is linked to the person's personal details — PAN, Aadhaar, address, mobile number and email — maintained in the MCA21 system.

A DIN is required to be appointed as a director of any company. It is also required for designated partners of LLPs (where it serves as the DPIN).

What is DIR-3 KYC?

DIR-3 KYC is the annual process by which every DIN holder verifies and updates their personal details with the MCA. It was introduced in 2018 under Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014.

The purpose is to ensure that MCA's records reflect accurate and current personal information for every DIN holder, reducing the risk of shell companies and fraudulent directors.

Who Must File DIR-3 KYC?

Every person who holds an active DIN must file DIR-3 KYC by 30 September each year, regardless of:

  • Whether they are currently a director in any company
  • Whether the company they are associated with is active or struck off
  • Whether they have any business activity

This includes:

  • Active directors of private and public companies
  • Dormant directors (DIN holders who are not currently appointed in any company but the DIN has not been surrendered)
  • Designated partners of LLPs who hold a DIN
  • Persons who held a DIN in the past and have resigned from all directorships but still have an active DIN

Who is exempt from filing? Persons who have formally applied for and been granted DIN surrender (which requires following a prescribed process and meeting eligibility conditions) are not required to file KYC for a surrendered DIN.

Annual Filing Deadline

Compliance Deadline
DIR-3 KYC (no changes) via web route 30 September every year
DIR-3 KYC (first-time or with changes) via e-form 30 September every year
Filing after 30 September Only with ₹5,000 reactivation fee

The MCA has occasionally extended this deadline via general circulars. Always check the MCA portal for any extension notifications before the 30 September date.

Documents Required for DIR-3 KYC

Document Requirement
PAN card Mandatory for all Indian nationals (PAN number auto-verified)
Aadhaar card Mandatory for Indian residents; Aadhaar must be linked to a mobile number for OTP verification
Mobile number Personal mobile number; OTP sent to this number
Personal email address Personal (not company) email; OTP sent for verification
Passport-size photograph For the e-form (not required for web-based KYC)
Address proof If the address has changed — utility bill, bank statement etc.

For NRIs and foreign nationals:

  • Notarised and apostilled passport (showing current address if the passport does not have an address page)
  • Address proof from the country of residence (notarised and apostilled)
  • Indian mobile number (for OTP) — if the person does not have an Indian number, an alternative process applies

Two Ways to File DIR-3 KYC

Option 1: DIR-3 KYC-Web (Recommended for Returning Filers)

DIR-3 KYC-Web is a simplified online process available to DIN holders who have filed KYC in the previous year and whose details (mobile number, email, residential address, PAN) have not changed.

Process:

  1. Log in to the MCA portal (mca.gov.in)
  2. Go to MCA Services → DIN Services → DIR-3 KYC-Web
  3. Enter your DIN
  4. Verify with OTP sent to your registered mobile number and email
  5. Submit

The web-based process takes only a few minutes and requires no document uploads. No professional certification is required.

Option 2: DIR-3 KYC (Full E-Form)

The full Form DIR-3 KYC (e-form) must be filed when:

  • You are filing KYC for the first time
  • Your mobile number, email, address or other personal details have changed since your last KYC filing
  • You are reactivating a deactivated DIN

Process:

  1. Download the DIR-3 KYC form from the MCA portal
  2. Fill in all personal details: DIN, name (as on PAN), date of birth, nationality, PAN, Aadhaar, address, mobile number, email
  3. Upload supporting documents (photograph, identity and address proofs)
  4. Have the form attested and certified by a practising Company Secretary or Chartered Accountant (their DSC is required)
  5. Add your own DSC (Director's DSC) to the form
  6. Submit on the MCA portal
  7. Verify via OTP on registered mobile and email

The e-form requires professional certification, which involves an additional step compared to the web route.

Step-by-Step: DIR-3 KYC-Web Filing (Most Common Route)

For most directors who filed KYC last year with unchanged details:

Step 1: Visit mca.gov.in and log in with your MCA user ID and password.

Step 2: Navigate to MCA Services → DIN Services → DIR-3-KYC.

Step 3: On the form, enter your DIN and confirm the pre-filled personal details (name, PAN, Aadhaar).

Step 4: Enter your registered mobile number and email address. The system will send OTPs to both.

Step 5: Enter the OTPs and submit the form.

Step 6: Upon successful submission, you receive a confirmation message and the DIN status updates to "Active — KYC Done" in the MCA system.

Step 7: Download the acknowledgement for your records.

No fee is charged if filed on or before 30 September.

What Happens If You Miss the 30 September Deadline?

If DIR-3 KYC is not filed by 30 September, the MCA system automatically marks the DIN as "Deactivated due to non-filing of KYC" from 1 October.

Consequences of a Deactivated DIN

  1. Cannot sign MCA forms: The director cannot authenticate any MCA e-forms (AOC-4, MGT-7, etc.) while the DIN is deactivated
  2. Company filings blocked: If the only director capable of signing has a deactivated DIN, the company's ROC filings are effectively blocked
  3. No new directorships: The person cannot be appointed as a director in any company while the DIN is deactivated
  4. Downstream penalties: If the company misses its ROC filings because of DIN deactivation, the company (and directors) face late fees on those filings

How to Reactivate a Deactivated DIN

To reactivate a DIN that was deactivated for non-filing of KYC:

  1. File the full Form DIR-3 KYC (e-form, not the web route) — even if your details are unchanged
  2. Pay the ₹5,000 reactivation fee on the MCA portal before or during submission
  3. The DIN is reactivated typically within 1–2 working days

Note: The ₹5,000 fee is a one-time reactivation fee. After reactivation, you must file KYC again by the next 30 September (using the web route if details are unchanged) to avoid deactivation in the following year.

DIN Surrender — Voluntarily Giving Up a DIN

If a person no longer wishes to be associated with any company and wants to give up their DIN, they can apply for DIN surrender. This is done through a prescribed process (currently through Form DIR-5 followed by physical application). A surrendered DIN becomes permanently inactive. Once surrendered, the person cannot obtain a new DIN in the same name.

Surrendering a DIN is irreversible and should be done only after careful consideration.

Practical Tips for Staying Compliant

  1. Set a calendar reminder: Mark 30 September as a recurring annual reminder for every DIN holder in your company
  2. File early: Don't wait until the last few days — technical glitches on the MCA portal near deadlines are common
  3. Check DIN status: Periodically verify DIN status on the MCA portal under the "MCA Services → Find DIN" tool
  4. Maintain Aadhaar-mobile linkage: Aadhaar-linked mobile OTP is needed for KYC; ensure the Aadhaar is linked to an active mobile number before filing
  5. Inform dormant directors: Even directors who have resigned from all companies but retain their DIN must file KYC

For ongoing ROC annual compliance support — including tracking DIR-3 KYC for all directors and ensuring company filings are never delayed — a Company Secretary firm can manage the full compliance calendar.

Frequently Asked Questions

Who must file DIR-3 KYC and by when?

Every person who holds an active Director Identification Number (DIN), regardless of whether they are currently appointed as a director, must file DIR-3 KYC by 30 September every year. This includes persons who held a DIN in the past even if they are no longer a director of any company.

What is the penalty for not filing DIR-3 KYC on time?

If DIR-3 KYC is not filed by 30 September, the MCA marks the DIN as 'Deactivated due to non-filing of KYC'. To reactivate the DIN, the person must file DIR-3 KYC (full e-form or web-based) and pay a fee of ₹5,000. There is no further annual penalty, but every year of non-filing requires a fresh ₹5,000 reactivation fee.

What documents are required for DIR-3 KYC filing?

The main documents are: PAN card (mandatory for Indian nationals), Aadhaar card (with an Aadhaar-linked mobile number for OTP verification), a personal email address (for OTP verification), and a mobile number. NRI and foreign nationals require a notarised and apostilled passport copy instead of Aadhaar, along with address proof from the country of residence.

What is the difference between DIR-3 KYC (e-form) and DIR-3 KYC-Web?

DIR-3 KYC is the full e-form filed when a person is doing KYC for the first time, or when any details (mobile number, email, address) have changed during the year. DIR-3 KYC-Web is a simplified web-based form for persons whose details remain unchanged from the previous year — it requires only an OTP verification and is faster to complete.

Can a company file documents if its director's DIN is deactivated?

No. If a director's DIN is deactivated due to non-filing of KYC, that director cannot sign or certify any MCA forms. This can block critical company filings (annual returns, charge creation, director appointments etc.) until the DIN is reactivated by completing DIR-3 KYC and paying the ₹5,000 fee.
