Add or Remove a Director in a Company: Appointment, Resignation and DIR-12
Appoint, replace or remove a director with the right consents, resolutions and DIR-12 filing so the MCA record matches your board.
Get Started Today
Adding or removing a director means changing the board recorded with the Registrar of Companies. An appointment needs the director DIN, signed consent and declarations, a valid board or shareholder approval and a filing of Form DIR-12 within the prescribed period, while resignation and removal follow their own procedures under Sections 168 and 169 of the Companies Act 2013. Founders bringing in an investor nominee, startups adding an independent director and promoters stepping back all go through this process. Our team checks eligibility and DIN status, drafts the resolutions and notices, prepares the forms and updates the statutory registers, so the MCA record and the internal records of the company agree.

How It Works
Check eligibility and board composition
We confirm the person holds an active DIN, is not disqualified, is within the limits on directorships and fits the Articles, and test whether the board still meets minimum and resident director requirements.
Collect consent and declarations
The incoming director signs the consent to act, a declaration of eligibility and a disclosure of interest. We check each for accuracy and signatures before the board takes any decision.
Pass the correct approvals
We draft the board resolution for appointment, the general meeting notice where shareholders must approve, or the special notice for removal, matching the route to the Articles and the type of director.
File the MCA forms
Form DIR-12 is filed with the Registrar with the consent and resolution attached. Where a director resigns, the director may also file Form DIR-11, and appointment of a managing or whole-time director has an extra form.
Update registers and external records
We update the register of directors and key managerial personnel, issue appointment or acceptance letters and help update bank signatories and portals that rely on the director details.
Regularise and follow up
Where a director was appointed as an additional director, we plan the shareholder approval at the next annual general meeting, and we note the change for later annual filings and the board report.
Documents Required
- PAN and Aadhaar or other identity proof of the incoming or outgoing director
- DIN allotment record, or the details needed to obtain a DIN for a new director
- Signed consent to act as director
- Declaration of eligibility and disclosure of interest signed by the incoming director
- Address proof and a recent photograph of the incoming director
- Board resolution or general meeting resolution authorising the change
- Notice of the meeting and minutes, where shareholder approval is needed
- Resignation letter, for a director leaving the board
- Copy of special notice and the reply of the director, for a removal
- Digital signature of the director and of the person signing the form
Timeline and Fees
Indicative timeline: Often one to two weeks for a routine appointment or resignation once documents are ready. Removal and shareholder-approval cases take longer because of notice periods, and approval timing depends on the MCA portal.
Professional fee: The fee depends on whether it is an appointment, resignation or removal, whether a new DIN or digital signature is needed, and how many resolutions and meetings are involved. Government fees are paid at actuals. Contact our team for a written quote.
What Can Go Wrong if This Is Missed or Done Incorrectly
- Late filing of Form DIR-12 attracts additional fees, and the old board continues to show on public MCA records until it is filed
- A director whose DIN is deactivated or who is disqualified can lose office, and acts of the board involving that person may be questioned
- Appointing a director without the proper consents, declarations or approvals leaves the appointment open to challenge
- A board that falls below the legal minimum, or without a resident director, puts the company in breach of the Companies Act
Frequently Asked Questions
What is needed to appoint a new director in a company?
The person needs an active DIN, must give signed consent and declarations, and the board or shareholders must approve the appointment as the Articles provide. The company then files Form DIR-12 with the Registrar within 30 days. A person without a DIN must obtain one first.
By when must Form DIR-12 be filed?
It must be filed within 30 days of the appointment, resignation or other change in directors. Late filing attracts additional fees, and until the change shows on the MCA portal the public record still lists the old board, which can cause problems with banks and counterparties.
How does a director resign, and does the company also need to file?
Under Section 168 the director sends a written notice of resignation to the company, and the resignation takes effect from the date the company receives it or any later date stated in the notice. The company reports it in Form DIR-12, and the director may also file Form DIR-11 as additional proof.
Can shareholders remove a director against his or her wishes?
Yes, under Section 169 a company can remove a director before the term ends by ordinary resolution passed after special notice, and the director must be given a chance to be heard. Directors nominated by the tribunal or elected by proportional representation cannot be removed this way.
Must every company have a director who is resident in India?
Yes. At least one director must have stayed in India for the period the Companies Act specifies in the previous calendar year. Any appointment or exit that would leave the board without a resident director must be planned so a replacement is in place in time.
What is an additional director and why does it need regularising?
If the Articles permit, the board can appoint an additional director between annual general meetings, who holds office only until the next one. Shareholders must then approve the appointment, otherwise the director leaves office, so the regularising resolution should be built into the next meeting agenda.
