Get Started Today

Adding a designated partner means appointing an existing or new partner to carry the extra statutory responsibilities that the LLP Act places on designated partners, and then reporting that change to the Registrar of Companies. Every LLP must have at least two designated partners, and at least one of them must be resident in India. LLPs that have lost a designated partner, are bringing in a new partner, or are restructuring management need this service. Our team checks the LLP agreement, arranges the identification number and signatures, prepares the Form 4 filing on the MCA portal, and updates the LLP records afterwards.

Who Needs Add Designated Partner in LLP?

  • LLPs that have only one designated partner or have lost one through resignation or death
  • LLPs bringing in a new partner who will take part in management and statutory responsibilities
  • LLPs whose only resident-in-India designated partner is leaving or has moved abroad
  • Founders restructuring an LLP after a funding round, retirement or change in family control
  • Newly converted LLPs that need to confirm their designated partners before the first filings

Key Benefits

  • A review of the LLP agreement first, so the appointment follows the powers and procedure the partners agreed
  • Check that the LLP continues to meet the two-designated-partner and resident-in-India requirement
  • Handling of the DPIN application and digital signature for the incoming designated partner
  • Preparation of the consent to act and the Form 4 attachments so the filing is not returned for missing papers
  • Reminders around the 30-day statutory window for reporting the change to the Registrar
  • Follow-up on bank mandates, tax records and the LLP agreement so every record matches the MCA file

How It Works

  1. Review the LLP agreement and structure

We read the agreement to see who may appoint designated partners, whether consent of all partners is needed, and whether the LLP will still have two designated partners with one resident in India.

  2. Arrange identification and signatures

The incoming designated partner needs a DPIN (the director identification number used for LLPs) and a valid digital signature certificate. We apply for these first because the filing cannot be signed without them.

  3. Pass the partner resolution and consent

We draft the written decision of the partners approving the appointment and the incoming partner's consent to act as a designated partner, both dated and signed in line with the agreement.

  4. Update or file the LLP agreement change

If the person is also a new partner, or the agreement names designated partners, the agreement changes and is reported on Form 3. We prepare the supplementary deed so the two filings stay consistent.

  5. File Form 4 with the Registrar

We file Form 4 on the MCA portal with the consent attached, signed by the LLP and the partner as required, and track the Registrar's response so any query is answered quickly.

  6. Update bank, PAN and internal records

Once the Registrar accepts the filing we help update the bank signatory details, the tax and GST contact records, and the LLP's own register, so every authority and bank sees the same set of partners.

Documents Required

  • PAN card and Aadhaar or passport of the incoming designated partner
  • Passport-size photograph and a recent address proof of the incoming designated partner
  • Existing DPIN or DIN details, if the person already holds one
  • Digital signature certificate of the incoming designated partner and of an existing designated partner
  • Written consent of the partner to act as a designated partner
  • Resolution or written approval of the partners for the appointment
  • Current LLP agreement and, where the partner is new, the supplementary or amended agreement
  • LLP incorporation certificate and LLPIN details

Timeline and Fees

Indicative timeline: Indicative range of a few days to about two weeks once the partner's DPIN and digital signature are ready. Obtaining a fresh DPIN and the Registrar's processing time depend on the MCA and can extend the schedule.

Professional fee: Professional fees depend on whether the partner already holds a DPIN and digital signature, whether the LLP agreement also needs amending, and how many filings are due. Government fees and any additional late fee are paid at actuals. Contact our team for a written quote.

What Can Go Wrong if This Is Missed or Done Incorrectly

  • An LLP below the minimum number of designated partners, or with none resident in India, is out of compliance with the Act
  • Late filing of Form 4 or Form 3 attracts additional fees for each day of delay
  • Continued default can lead to penalties on the LLP and on its designated partners personally
  • A mismatch between the MCA record and bank or tax records can block signing authority and refunds

Frequently Asked Questions

How many designated partners must an LLP have?

An LLP must have at least two designated partners, and at least one of them must be resident in India. Only an individual can be a designated partner, so a body corporate partner has to nominate a person. If an LLP has no designated partner, the Act can treat every partner as one.

Who can be appointed as a designated partner?

Any individual who is a partner in the LLP, or who becomes a partner at the same time, can be designated if the LLP agreement allows it. The person must hold a DPIN and give consent to act. Residence matters only for the minimum resident-in-India requirement across the LLP as a whole.

Which form is used to add a designated partner?

Form 4 on the MCA portal is used to notify the Registrar of an appointment, change or cessation of a partner or designated partner. It has to be filed within 30 days of the change. If the LLP agreement changes at the same time, Form 3 is filed too.

Do I need a DPIN before the appointment can be filed?

Yes. A designated partner must have a designated partner identification number, which is the same director identification number allotted by the MCA. A person who already has a DIN can use it. A new applicant has to obtain one first, and that step is a common cause of delay.

What happens if the change is filed late?

Late filing of LLP forms attracts additional fees for each day of delay, and continued default can bring penalties on the LLP and its designated partners. The MCA portal calculates the additional fee at the time of filing. It is cheaper and simpler to file within the statutory window.

Can a designated partner resign, and does the LLP need a replacement?

A designated partner can cease to hold the role by giving notice as the LLP agreement provides, and the change is reported on Form 4. If that leaves the LLP below the minimum of two, or without a resident in India, a replacement should be appointed straight away.
