Shareholders' Agreement Drafting

Shareholders’ agreements that record board control, investor rights, share transfers and exit for founders and investors.

A Shareholders' Agreement (SHA) is a private contract between a company's shareholders that sets out how the company will be governed and how shares can be held, transferred and exited. It is used by founders, angel and venture investors, family businesses and joint venture partners who want rights beyond what company law and the Articles of Association give by default. Our team drafts SHAs covering board composition, reserved matters, transfer restrictions, pre-emption, tag-along, drag-along, anti-dilution and exit, and aligns the Articles so the key terms can be enforced.

Who Needs Shareholders' Agreement?

  • Startup founders raising money from angels or venture investors
  • Investors taking a minority stake who need protective rights recorded
  • Family-owned companies planning succession or separation of interests
  • Joint venture companies with more than one promoter group
  • Companies about to issue new shares or restructure ownership

Key Benefits

  • Board seats, veto rights and reserved matters recorded so investors and founders know which decisions need consent
  • Transfer controls such as right of first refusal, tag-along and drag-along that shape who can become a shareholder
  • Anti-dilution and pre-emption provisions drafted to match the funding round and the commercial deal
  • Exit routes, deadlock handling and valuation approaches written down before disputes arise
  • Alignment of the Articles of Association with the agreement so key rights are better placed to be enforced
  • Guidance on funding-round and share issue formalities so documents and filings stay consistent

How It Works

  1. Understand the cap table

We review the shareholding, the funding round or restructuring, and what the founders and investors each want, so the agreement reflects the real commercial deal.

  2. Agree the term sheet

We help turn headline terms into a clear term sheet covering control, economics, protective rights and exit, so negotiation focuses on genuine points of difference.

  3. Draft the SHA

Our team prepares the agreement with governance, transfer, dilution, information and exit provisions, plus warranties, founder commitments and dispute resolution, all suited to the size and stage of the transaction.

  4. Align the Articles

We prepare matching amendments to the Articles of Association so key rights are reflected in the company’s constitutional document, along with the shareholder approval and Registrar filings that the change requires.

  5. Execute and file

We guide stamping under state law and signing by all parties, and prepare the related board and shareholder resolutions and the MCA filings linked to the transaction so the records stay consistent.

Documents Required

  • Certificate of incorporation, Memorandum and Articles of Association
  • Current shareholding pattern or cap table
  • Identity, address proof and PAN of each shareholder
  • Term sheet or investment proposal agreed between the parties
  • Board and shareholder resolutions for the share issue or transfer
  • Details of directors, including nominee directors proposed by investors
  • Latest financial statements and business plan
  • Details of any existing shareholder or employee stock option arrangements

Timeline and Fees

Indicative timeline: Drafting usually takes one to three weeks from the signed term sheet. Negotiation between founders and investors, stamping and Registrar filings for the Articles amendment affect the overall period.

Professional fee: The fee depends on the number of shareholders, the complexity of investor rights, whether the Articles must also be amended and whether the work is for a funding round with a tight timetable. Contact us with the term sheet for a quote.

What Can Go Wrong if This Is Missed or Done Incorrectly

  • Rights kept only in the SHA and not in the Articles may be harder to enforce against the company
  • Unclear transfer and exit terms can leave shareholders locked in or exposed to an unwanted new co-owner
  • Missing deadlock provisions can paralyse decisions when shareholders are evenly split
  • Terms that conflict with foreign exchange rules can create compliance problems for the company and the investor

Frequently Asked Questions

What is a shareholders agreement and why is it needed?

It is a contract among the shareholders that governs how the company is run and how shares are dealt with. Company law and the Articles set general rules, but investors and founders usually want specific protections, such as veto rights, transfer limits and exit terms, that are better recorded in a tailored agreement.

Is a shareholders agreement enforceable in India?

It is enforceable between the parties as a contract, but some rights, particularly restrictions on share transfer and special control rights, are generally treated as more reliably enforceable against the company when also placed in its Articles of Association. For this reason the agreement and the Articles should be drafted together.

What is the difference between tag-along and drag-along rights?

Tag-along lets minority shareholders join a sale on the same terms when a major shareholder sells, protecting them from being left behind. Drag-along lets holders of an agreed stake require other shareholders to sell on the same terms, so a buyer can acquire the whole company. Each is negotiated carefully.

Do we need to amend the Articles of Association?

In most cases, yes. To make key rights part of the company’s constitution, the Articles are usually altered to reflect them, which under the Companies Act, 2013 requires a special resolution and a filing with the Registrar of Companies. Our team prepares the amendments to match the SHA.

Do foreign investors change how the agreement is drafted?

They can. Foreign exchange management rules affect pricing, instruments, put and call options and exit terms for non-resident investors, and reporting to the Reserve Bank of India is required for the investment. We consider these points during drafting so that exit and return provisions do not conflict with the rules.

When should founders sign a shareholders agreement?

Ideally when more than one person holds shares, and certainly before an investor comes in. Putting rules about transfers, leaving, decision-making and exit in place early is far easier than negotiating them after a disagreement. The agreement can be updated later as the company raises further funding.
