Frequently Asked Questions

Should a startup incorporate as a Private Limited Company or LLP?

For startups expecting external investment, a Private Limited Company is strongly preferred. Venture capital funds and angel investors typically invest only in companies (not LLPs) because of the well-defined share structure, board governance and the ability to issue ESOPs.

What is the angel tax exemption under Startup India?

DPIIT-recognised startups can claim exemption from the so-called "angel tax" (Section 56(2)(viib) of the Income Tax Act) on investments received above the fair market value. This exemption must be applied for separately after DPIIT recognition. Eligibility conditions and the application process should be verified with a CA familiar with the current Finance Act provisions.
