Frequently Asked Questions

Common questions about our CA, CS and technology services — answered clearly by our team.

CA Services — GST, Tax & Accounting

What documents do I need to file my Income Tax Return (ITR)?

The documents required depend on the type of ITR you need to file. Generally you will need Form 16 (issued by your employer), bank account statements for the financial year, interest certificates from banks, proofs of investments and deductions (LIC premiums, PPF, ELSS, etc.), and the Annual Information Statement (AIS) and Taxpayer Information Summary (TIS) available on the Income Tax portal. If you have capital gains from shares or mutual funds, you will need your broker's capital-gains statement. Our CA team will guide you through exactly what is required for your specific situation.

Is GST registration mandatory if my turnover is below ₹40 lakh?

Under current law, GST registration is not mandatory for businesses dealing exclusively in goods if their aggregate annual turnover is below ₹40 lakh (₹20 lakh in special category states). For service providers, the threshold is ₹20 lakh (₹10 lakh in special category states). However, voluntary registration is available and often beneficial — it lets you claim Input Tax Credit, appear credible to larger corporate buyers, and participate in government tenders. Certain activities such as inter-state supply or e-commerce selling require GST registration regardless of turnover. Verify current thresholds on the official GST portal (gst.gov.in) as they may be updated.

How long does GST registration take?

Typically 3–7 working days, provided all documents are submitted correctly and the tax officer does not raise any queries. If the officer raises a clarification notice — common when the place of business address is unclear or documents are mismatched — you will have 7 working days to respond, after which the officer has another 7 days to approve or reject. Our team pre-verifies your documents to minimise officer queries and tracks the application until the GSTIN is issued.

What happens if I miss the GST return due date?

Missing GST return due dates attracts a late fee and interest. For GSTR-3B, the late fee is ₹50 per day (₹25 each under CGST and SGST) for businesses with any tax liability, and ₹20 per day (₹10 each) for nil-return filers, subject to the maximum notified by the government. Interest at 18% per annum is charged on any outstanding tax liability from the due date. Repeated non-filing can lead to suspension or cancellation of your GST registration. Always verify current rates and deadlines on gst.gov.in.

What is the difference between a tax audit and a statutory audit?

A statutory audit is mandated under the Companies Act, 2013 and must be conducted by an independent Chartered Accountant for all companies, regardless of turnover. Its primary purpose is to give shareholders confidence that the financial statements present a true and fair view. A tax audit is required under Section 44AB of the Income Tax Act for businesses whose turnover exceeds the prescribed threshold and for professionals whose gross receipts exceed the specified limit. The tax auditor certifies the accuracy of income, deductions and other particulars reported in the ITR. Both are conducted by CAs but serve different purposes and have different reporting formats. Please verify current thresholds on incometax.gov.in.

Can India Comply handle our monthly accounting remotely?

Yes. We provide fully remote bookkeeping and accounting services for businesses across India. We work with popular accounting software including Tally Prime, Zoho Books and QuickBooks Online, adapting to whichever platform you already use or helping you choose the right one. Your team shares invoices, bank statements and other documents with us securely, and we maintain your books, reconcile accounts, prepare GST returns and provide monthly management reports. This is particularly popular with startups and small businesses that need professional financial oversight without the cost of an in-house accountant.

Do NRIs need to file an Income Tax Return in India?

Yes, if your income accruing or arising in India — such as rent from Indian property, interest from Indian bank accounts, dividends from Indian companies or capital gains from Indian assets — exceeds the basic exemption limit applicable to you, you must file an ITR in India. Even if your income is below this limit, filing may be beneficial for claiming TDS refunds or for visa and loan purposes. NRIs are taxed at applicable rates on Indian-source income, with DTAA (Double Taxation Avoidance Agreement) relief available in many cases. Our team specialises in NRI taxation and will ensure the correct residential status and the right ITR form are applied. Verify current exemption limits on incometax.gov.in.

What is TDS and when must it be deducted?

Tax Deducted at Source (TDS) is a mechanism under the Income Tax Act where the payer deducts a specified percentage of tax from certain payments before transferring the balance to the recipient. Common TDS provisions include: Section 194C for contractor payments, Section 194J for professional and technical service fees, Section 192 for salary, Section 194A for interest, and Section 194I for rent. The deductor must deposit TDS with the government, file quarterly TDS returns and issue TDS certificates to the deductee. Non-deduction or late deposit attracts interest and penalties. Our team handles end-to-end TDS compliance — deduction calculation, deposit, return filing and certificate issuance.

What are the benefits of a Virtual CFO service for a startup?

A Virtual CFO gives your startup access to senior financial leadership at a fraction of the cost of a full-time CFO. Key benefits include: strategic financial planning and cash-flow forecasting, investor relations and preparation of financial models for fundraising, MIS reporting and management dashboards, regulatory compliance oversight (GST, TDS, ROC), cost-optimisation analysis, and guidance on structuring transactions for tax efficiency. For startups approaching a funding round or preparing for due diligence, a Virtual CFO is especially valuable in getting the financial house in order quickly.

Does India Comply help with PAN card applications?

PAN card applications are processed directly through the Income Tax Department's authorised service providers (NSDL/Protean and UTIITSL) and do not require a CA or intermediary. You can apply online at pan.utiitsl.com or onlineservices.tin.egov-nsdl.com — using your Aadhaar number for an instant e-PAN at no cost. If you need a physical PAN card, a small fee applies. We are happy to guide you through the process or clarify any queries, even though we do not charge for this as a stand-alone service.

CS Services — Company Registration & Compliance

What is the difference between a Private Limited Company and an LLP?

The key differences are in liability, compliance requirements and ability to raise funding. A Private Limited Company (Pvt Ltd) offers limited liability to shareholders (personal assets are protected), has a more structured corporate governance framework under the Companies Act, 2013, and is far better suited to raising equity funding — venture capital and angel investors strongly prefer the Pvt Ltd structure. An LLP also offers limited liability to partners but has lighter annual compliance and is taxed as a partnership (no dividend distribution tax). LLPs are ideal for professional services firms and businesses not planning external equity funding. Our CS team can help you evaluate the right structure for your goals.

How long does company (Pvt Ltd) registration take?

Typically 7–15 working days from the date all documents are submitted in order, provided there are no MCA21 system delays or DIN/DSC issues. The process involves: name reservation via RUN, DSC procurement for directors, DIN (incorporated within SPICe+), filing the SPICe+ form with the Registrar of Companies, and receipt of the Certificate of Incorporation. Our team prepares all documents, manages the filing end-to-end and keeps you informed at every step. Verify current processing times on mca.gov.in.

What is the minimum paid-up capital required to start a Private Limited Company?

As of the current law, there is no minimum paid-up capital requirement for incorporating a Private Limited Company in India. The Companies Act, 2013 removed the earlier requirement. You can incorporate with as little as ₹10,000 or even ₹1 in principle, although a nominal amount such as ₹10,000–₹1,00,000 is practical for initial operations. The authorised capital does attract stamp duty (which varies by state), so it is sensible to start with a reasonable authorised capital and increase it as needed.

What is ROC compliance and is it mandatory?

ROC (Registrar of Companies) compliance refers to the annual and event-based filings that every company incorporated under the Companies Act, 2013 must make with the Ministry of Corporate Affairs. Annual mandatory filings include MGT-7/MGT-7A (Annual Return), AOC-4 (Financial Statements) and ADT-1 (Auditor appointment). Directors must also file DIR-3 KYC annually by 30 September (verify current deadline on mca.gov.in). Event-based filings cover changes in directors, registered office, share capital and so on. Failure to file attracts significant late fees (₹100 per day per form with no cap) and, eventually, the company's status can be struck off. Yes, ROC compliance is mandatory for all companies.

How long does trademark registration take?

Filing a trademark application takes just a few days once your documents are ready, and you receive a TM application number immediately on filing — this gives you ™ status from that date. However, the full registration process from filing to the registration certificate takes approximately 18–36 months depending on the IP India examination queue, whether any objections are raised by the examiner, and whether any opposition is filed during the 4-month publication period. We recommend filing early. Visit ipindia.gov.in for official status updates.

Can I register a company with just 2 directors?

Yes. A Private Limited Company requires a minimum of 2 directors and 2 shareholders (who can be the same individuals). Both directors must have a Director Identification Number (DIN) and a Digital Signature Certificate (DSC). At least one director must be a resident of India — a person who has stayed in India for 182 days or more in the previous calendar year per the Companies Act. There is no maximum on the number of shareholders in a Pvt Ltd (up to 200 before it must convert to a public company).

What is DPIIT Startup India recognition and who is eligible?

DPIIT (Department for Promotion of Industry and Internal Trade) recognition under the Startup India initiative provides significant benefits including exemption from income tax for 3 consecutive years (Section 80-IAC, subject to conditions), exemption from angel tax under Section 56(2)(viib) for recognised startups, self-certification for certain labour and environmental laws, fast-track patent examination, and access to government tenders without prior experience criteria. Eligibility: the entity must be a Pvt Ltd, LLP or Registered Partnership; less than 10 years old; annual turnover must not have exceeded ₹100 crore in any preceding financial year; and it must be working towards innovation or improvement of existing products or services. Verify current criteria at startupindia.gov.in.

Is FSSAI registration mandatory for home bakers and food businesses?

Yes, any person or entity engaged in the manufacture, processing, storage, distribution or sale of food products in India must obtain an FSSAI licence or registration, including home bakers who sell commercially. The level of registration depends on your annual turnover: Basic FSSAI Registration for turnover below ₹12 lakh per annum, State FSSAI Licence for ₹12 lakh to ₹20 crore, and Central FSSAI Licence for above ₹20 crore or for businesses operating across multiple states or engaged in import/export. Operating without a valid FSSAI licence can attract penalties. Verify current thresholds at fssai.gov.in.

What is DIR-3 KYC and why must every director file it annually?

DIR-3 KYC is an annual compliance form that every individual holding a Director Identification Number (DIN) must file with the MCA by 30 September each year (verify current deadline on mca.gov.in). It verifies that the personal details of the director — name, address, PAN, Aadhaar, mobile number, email — are current and correct. If a director fails to file DIR-3 KYC, their DIN is deactivated and they cannot sign or file any company documents until the DIN is reactivated with a late fee. This affects the entire company's ability to file returns. We remind all our clients automatically before the deadline.

What documents are needed for LLP registration?

For LLP registration you will need: PAN card and Aadhaar card of all designated partners; photograph of all designated partners; address proof of all partners (passport, voter ID, driving licence or utility bill); proof of registered office (rent agreement plus latest utility bill, or ownership documents if own property); and a No-Objection Certificate from the property owner if the office is rented. Our team prepares the LLP Agreement, files FiLLiP on the MCA portal and handles the entire incorporation process.

Technology & Software Services

What technologies do you use for web development?

Our web development team works across a range of modern technologies depending on the project requirements. For dynamic web applications we use Angular, React and Next.js. For content-driven marketing websites we often use Next.js or WordPress with a headless CMS. For backend services we use Node.js, Python (Django/FastAPI) and PHP (Laravel). We choose the stack based on your project's performance, scalability and long-term maintenance needs — we will recommend the best fit and explain the trade-offs during the discovery call.

How long does a website take to build?

For a standard 5–10-page marketing website (home, about, services, contact, etc.) the typical timeline is 3–6 weeks from design sign-off to launch. More complex projects with custom design, e-commerce functionality, integrations or a large number of pages take 8–16 weeks or more. The single biggest factor affecting timelines is the speed of client feedback and content availability — we provide a content checklist at the start of every project. We will give you a detailed project schedule with milestones after our initial discovery call.

Do you build mobile apps for both iOS and Android?

Yes. We build cross-platform mobile apps using React Native and Flutter, which allows a single codebase to run on both iOS and Android — significantly reducing development time and cost compared to two native apps. For projects that require deep platform-specific performance or native API access, we also build native iOS (Swift) and Android (Kotlin) apps. We will recommend the right approach based on your app's complexity, performance requirements and budget.

Who owns the software, website or app after it is built?

You do — 100%. Upon full payment of the project fee, all intellectual property rights including source code, design files, database schemas and documentation are transferred to you. You receive everything needed to host, maintain and further develop the product independently. We document this in our contract clearly. We do not retain any backdoors, licences or ongoing fees unless you opt for a maintenance plan, which is always optional.

Do you offer website maintenance and support after launch?

Yes. We offer monthly maintenance plans that cover security updates, CMS and plugin updates, uptime monitoring, small content changes, performance checks and technical support. Plans are available at different tiers depending on how much ongoing involvement you need. Many clients also choose an ad hoc support arrangement where they raise tickets on request. We strongly recommend some form of maintenance to keep your site secure and performing well.

What is the difference between a website and a web application?

A website is primarily a content-delivery medium — pages of text, images and information that visitors browse (a marketing site, a portfolio, a blog). A web application is interactive software that users interact with to accomplish tasks — booking systems, project management tools, online stores with user accounts, CRM dashboards or SaaS products. The distinction matters because web apps require a much more robust backend, user authentication, data storage and business logic, and are significantly more complex and expensive to build.

Can you integrate payment gateways into our website or app?

Yes. We integrate all major Indian and international payment gateways including Razorpay, Cashfree, PayU, Stripe and PayPal. We can set up one-time payments, subscriptions, split payments, UPI collect flows and bank-transfer reconciliation depending on your business model. All payment integrations are tested thoroughly before go-live. We also help with the payment gateway account setup and KYC process if you do not already have one.

Do you work with clients outside India?

Yes. We work with clients globally and are comfortable with remote collaboration across time zones. We have worked with NRI entrepreneurs, Indian diaspora businesses and international companies looking to build technology products with an India-based team. Communication happens over email, WhatsApp, Google Meet or Slack — whichever you prefer. Invoicing is available in Indian Rupees or USD depending on your location and preference.

General & Working With India Comply

How do I get started with India Comply?

The simplest way is to fill in our contact form or click the WhatsApp button to start a conversation. There is no commitment or charge for the initial consultation.

Can you handle urgent filings with a short deadline?

We do our best to accommodate urgent requests. However, some government processes — such as MCA portal processing times, GST officer approvals, or trademark filing queues — have timelines outside our control. Please contact us as soon as you become aware of a deadline. Do not wait until the last day to reach out.

Do you serve clients who are based outside India?

Yes. We serve NRIs, foreign nationals with business interests in India and Indian diaspora entrepreneurs worldwide. For compliance and registration services, all work is done remotely — you do not need to be in India. Documents can be signed digitally or via courier where a physical signature is legally required. For international clients, we will advise you on the relevant FEMA and RBI regulations that may apply to your situation.

Is all communication in English?

Yes, all our written communication — emails, reports, filings, contracts and invoices — is in English. Our team is also comfortable conversing in Hindi for clients who prefer that. We do not currently offer regional language services, but please ask if you have a specific requirement.

How do I track the progress of my filing or project?

We provide updates at every significant milestone — for example, when an application is submitted, when a government reference number is received, when a query is raised by an officer and when the certificate or approval is received. You will always know where your matter stands. For longer projects such as software development, we share a project schedule at the start and provide regular progress reports.

Does India Comply have a physical office?

Please contact us directly for details of our office location and to schedule a visit. We are happy to meet in person for complex engagements, but the majority of our work is conducted efficiently via phone, email and video calls — saving you travel time.

What payment methods do you accept?

We accept NEFT/RTGS bank transfers, UPI, and online card payments. Payment details are included in each invoice. Depending on the service, we may require an advance payment before work begins, with the balance due at agreed milestones or on completion. All payment terms are clearly stated in our engagement letter before work starts.

Is my financial and business information kept confidential?

Absolutely. As Chartered Accountants and Company Secretaries, we are bound by strict professional codes of conduct under ICAI and ICSI guidelines, which impose a duty of confidentiality. We do not disclose client information to any third party without your explicit written consent, except where legally required. We also take appropriate technical measures to store and transmit your documents securely.
