TL;DR: Udyam Registration is the official government registration for Micro, Small and Medium Enterprises (MSMEs) in India. It is free, permanent and based on self-declaration using Aadhaar and PAN. Benefits include priority sector lending, protection against delayed payments under the MSMED Act, government tender preference and fee rebates on trademark and patent filings. All eligible businesses — from sole proprietors to companies — should register.
Udyam Registration replaced the earlier Udyog Aadhaar Memorandum (UAM) system in July 2020 as the official way for Micro, Small and Medium Enterprises (MSMEs) in India to register under the MSME Development Act, 2006 (MSMED Act). It is administered by the Ministry of Micro, Small and Medium Enterprises and the registration process takes place on the Udyam Registration Portal (udyamregistration.gov.in).
Registering as an MSME is not mandatory by law — but in practice, many government benefits, bank loan schemes, tender preferences and compliance protections are available only to Udyam-registered enterprises. For any small business that qualifies, registration is strongly advisable.
What is an MSME?
MSME stands for Micro, Small and Medium Enterprise. It is a classification of businesses by size, used to determine eligibility for government support, credit schemes and other benefits.
The MSME classification was revised effective 1 July 2020. The current classification is based on two combined criteria: investment in plant and machinery (or equipment for service enterprises) AND annual turnover.
| Category | Investment Limit | Turnover Limit |
|---|---|---|
| Micro Enterprise | Up to ₹1 crore | Up to ₹5 crore |
| Small Enterprise | Up to ₹10 crore | Up to ₹50 crore |
| Medium Enterprise | Up to ₹50 crore | Up to ₹250 crore |
Important: Both conditions (investment AND turnover) must be satisfied. If an enterprise exceeds the limit on either criterion, it moves to the next category.
The same classification criteria apply to both manufacturing enterprises and service enterprises — the earlier distinction (different thresholds for manufacturing vs services) was abolished in 2020.
Investment means net investment in plant and machinery or equipment (for manufacturing) or equipment (for service enterprises), excluding land, buildings and certain other assets. Investment data is linked to the enterprise's ITR filing via PAN.
Turnover is total annual turnover of the enterprise as reported in GST returns (for GST-registered businesses) or income tax returns.
Who Can Register Under Udyam?
Any enterprise engaged in a legal economic activity — including manufacturing, trade or services — can register on the Udyam portal if it meets the investment and turnover criteria.
Eligible entity types include:
- Sole proprietorship
- Partnership firm (registered or unregistered)
- Hindu Undivided Family (HUF)
- Company (private limited, public limited, OPC, Section 8)
- Limited Liability Partnership (LLP)
- Cooperative society
- Trust
- Any other legal entity
There is no restriction on industry or sector. A home-based business, a restaurant, a software services firm, a manufacturing unit — all can register if they meet the criteria.
Benefits of Udyam Registration
1. Priority Sector Lending
Scheduled commercial banks are required to allocate a portion of their lending to the priority sector, which includes MSMEs. Udyam-registered enterprises qualify for:
- Collateral-free loans up to ₹10 lakh under the CGTMSE (Credit Guarantee Fund Trust for Micro and Small Enterprises) scheme
- Priority processing for business loans
- Access to MUDRA loans under Pradhan Mantri MUDRA Yojana (PMMY)
Interest rates on MSME loans are often more favourable than general business loan rates, and government-backed credit guarantee schemes reduce the need for collateral.
2. Protection Against Delayed Payments — Section 15 of MSMED Act
This is one of the most practically valuable benefits for small businesses. Under Section 15 of the MSMED Act, 2006:
- Buyers must pay dues to Micro and Small Enterprises within 45 days of acceptance of goods or services (or within the agreed credit period if shorter than 45 days)
- If payment is delayed beyond this period, the buyer is liable to pay compound interest at three times the bank rate notified by RBI
- Udyam-registered Micro and Small Enterprises can file applications on the MSME Samadhaan portal to initiate conciliation and arbitration for recovery of delayed payments through the Micro and Small Enterprises Facilitation Council (MSEFC)
This protection is available only to Micro and Small Enterprises (not Medium Enterprises). It gives small suppliers a legal mechanism to recover dues from large companies, which is particularly valuable for vendors and contract manufacturers.
3. Government Tender Preference and Exemptions
- Exemption from Earnest Money Deposit (EMD) in government tenders for Micro and Small Enterprises (MEs are excluded)
- Purchase preference: Government departments and public sector undertakings must procure a minimum percentage of their annual purchases from MSMEs, with a sub-target for Micro Enterprises
- GeM portal access: Udyam registration is required for listing on the Government e-Marketplace (GeM) in the MSME seller category
- Turnover exemption for tender experience: MSME bidders are exempt from certain minimum turnover requirements that would otherwise disqualify new businesses
4. Trademark and Patent Fee Rebate
- Trademark: DPIIT-recognised startups and MSMEs pay a concessional trademark filing fee of ₹4,500 per class (vs ₹9,000 for others)
- Patent: Micro, small and startup applicants receive a 80% rebate on patent filing fees
Udyam registration is required to claim the MSME category fee for IP filings.
5. Subsidised Schemes and Government Support
Udyam-registered enterprises can access:
- Technology Upgradation Fund Scheme (TUFS) and other technology subsidy programmes
- Credit Linked Capital Subsidy Scheme (CLCSS) for upgrading technology
- State government MSME schemes (which vary by state but typically include subsidised electricity, land and working capital)
- ISO certification reimbursement schemes in several states
- Collateral-free loans under government guarantee schemes
6. Easier Compliance and Regulatory Support
DPIIT-recognised startups that also hold Udyam registration benefit from combined compliance relaxations. Several labour and environmental self-certification provisions apply to MSMEs as well.
Step-by-Step Udyam Registration Process
Step 1 — Visit the Udyam Portal
Go to udyamregistration.gov.in. The portal is operated by the Ministry of MSME.
Step 2 — Select the Appropriate Applicant Type
For new registrations:
- "For New Entrepreneurs who are not Registered yet as MSME" — for entities that do not have an existing Udyog Aadhaar number
Step 3 — Enter Aadhaar Number and Validate
The Aadhaar number of the proprietor (for sole proprietorships), managing partner (for partnerships) or authorised signatory/director (for companies and LLPs) is entered. OTP authentication via the Aadhaar-linked mobile number is required.
Step 4 — Enter PAN and Validate
The enterprise's PAN (or the proprietor's PAN for non-corporate entities) is entered and verified. The portal automatically fetches investment and turnover data from IT department records associated with the PAN.
Step 5 — Fill Enterprise Details
Fill in:
- Enterprise name (official name of the business)
- Type of organisation (company, LLP, partnership, proprietorship etc.)
- Main economic activity (NIC code for manufacturing or services)
- Office address and bank account details
- GST number (if registered)
- Number of employees
Step 6 — Submit and Receive Udyam Registration Certificate
Upon submission, the Udyam Registration Number and Udyam Registration Certificate are generated immediately. The certificate is in digital form and can be downloaded from the portal.
The entire process typically takes 15–30 minutes if the Aadhaar is linked to a mobile number.
No physical documents are uploaded. The process is self-declaration-based, with data verification happening through IT and GST return records linked to the PAN.
Udyam Registration Certificate — Key Details
| Item | Detail |
|---|---|
| Format | Digital certificate, downloadable as PDF |
| Validity | Permanent — no renewal required |
| QR code | Certificate includes a QR code for online verification |
| Classification | Shows Micro, Small or Medium as per submitted data |
What Happens if Turnover or Investment Increases?
If an enterprise's investment or turnover grows beyond its current MSME category:
- It automatically moves to the next category on an upward revision (Micro to Small, Small to Medium) but retains MSME status if it is still within the Medium Enterprise threshold
- If turnover exceeds ₹250 crore or investment exceeds ₹50 crore for two consecutive years, it ceases to be classified as an MSME and must update its Udyam registration accordingly
The system is designed to be self-updating — when annual ITR and GST return data is filed, the classification may be automatically revised.
Udyam vs Udyog Aadhaar
The Udyog Aadhaar Memorandum (UAM) system was the predecessor to Udyam Registration, discontinued on 30 June 2020. Enterprises with existing Udyog Aadhaar registrations were required to migrate to Udyam Registration. If you have not yet migrated, registering fresh on the Udyam portal is recommended to ensure access to current benefits.

Frequently Asked Questions
Is Udyam Registration free? Does it need to be renewed?
Yes, Udyam Registration is completely free of charge. There is no government fee for applying, and the Udyam Registration Certificate, once issued, is permanent and does not need to be renewed. However, if your enterprise crosses the MSME classification threshold (due to higher turnover or investment), you should update your Udyam registration accordingly.
What are the MSME classification criteria as per the current definition?
MSMEs in India are classified based on investment in plant and machinery/equipment AND annual turnover: Micro — investment up to ₹1 crore AND turnover up to ₹5 crore; Small — investment up to ₹10 crore AND turnover up to ₹50 crore; Medium — investment up to ₹50 crore AND turnover up to ₹250 crore. Both conditions (investment AND turnover) must be satisfied to fall within a category.
What documents are required for Udyam Registration?
Udyam Registration is a self-declaration process. The main requirements are the Aadhaar number of the applicant (proprietor, managing partner or authorised signatory as applicable), the enterprise's PAN number, and GST number (if registered). Bank account details may also be required. No additional documents are uploaded during registration — the system verifies investment and turnover data from IT and GST returns.
Can a company or LLP register as an MSME under Udyam?
Yes. Any enterprise — whether a sole proprietorship, partnership, company, LLP, cooperative society, trust or any other legal entity — can register as an MSME on the Udyam portal if it meets the investment and turnover criteria. For companies and LLPs, the PAN and GSTIN of the entity are used, and the authorised signatory's Aadhaar is used for authentication.
What is the MSME Samadhaan portal and how does it help with delayed payments?
MSME Samadhaan is a portal launched by the Ministry of MSME for Micro and Small enterprises to file online applications against buyers who have not paid within the 45-day period stipulated under Section 15 of the MSMED Act, 2006. The application is forwarded to the Micro and Small Enterprises Facilitation Council (MSEFC) for conciliation and arbitration. Udyam-registered micro and small enterprises can access this mechanism.
